1. About us and these terms
In plain language: Using the Site means you accept these terms. This is a business-to-business website.
The Site at ReadyForceIND.com is operated by ReadyForce Industrial Services Inc. ("ReadyForce", "we", "us" or "our"), with offices at 1317 Cardiff Blvd, Mississauga, ON L5S 1R1 and 8080 Lawson Rd, Milton, ON L9T 5C4. By accessing or using the Site you agree to these Website Terms of Use (the "Terms") and to our Privacy Policy, which forms part of them. If you do not agree, do not use the Site.
ReadyForce provides industrial services to businesses: machinery moving and rigging, millwright services, industrial mechanical services, and overhead door and loading dock supply, installation and service (the "Services"). The Site is intended for business customers, specifiers and job seekers. If you use the Site on behalf of a company, you confirm you have authority to act for it.
2. Changes to these terms
In plain language: We may update these terms. The version posted here applies.
We may revise these Terms at any time by posting an updated version with a new effective date. Your continued use of the Site after a change means you accept the revised Terms. Material changes to how we handle personal information are governed by our Privacy Policy.
3. Quotes, enquiries and how work is contracted
In plain language: Asking for a quote through the Site does not create a contract. Work starts when you accept a written quote or sign an agreement with us.
The Site lets you request a quote, ask a question or describe a project. A quote request, a reply from us, or information on the Site does not create a contract for Services. A contract is formed only when you accept a written quote, purchase order acknowledgement, service agreement or other written document issued by ReadyForce (a "Work Agreement"). The Work Agreement, including its pricing, scope, schedule, payment terms, warranty, insurance and liability terms, governs the Services. If a Work Agreement conflicts with these Terms, the Work Agreement governs for that work.
Any pricing, lead times, capacities, equipment specifications or availability shown on the Site are for general information and may change. They are not offers. We may decline any request.
4. Emergency service requests
In plain language: If you have an emergency, call us. A web form is not monitored around the clock.
ReadyForce offers 24/7 emergency service by telephone at 1-888-846-6002. Forms submitted through the Site are not monitored around the clock and are not a substitute for a phone call. Submitting a form does not commit ReadyForce to respond within any particular time. Emergency response times, rates and conditions are set out in your Work Agreement or confirmed when you call.
5. Documents you upload and information you provide
In plain language: You keep ownership of anything you upload. You let us use it to quote and do the work, and we keep it confidential.
You may upload tender packages, drawings, specifications, photographs and other files with a quote request ("Customer Materials"). You keep ownership of Customer Materials. You grant ReadyForce a non-exclusive licence to use, copy and share Customer Materials with our staff, subcontractors, suppliers and advisers as needed to review your request, prepare a quote and, if engaged, perform the Services. We treat Customer Materials as confidential and will not use them for any other purpose without your permission. You confirm you have the right to provide Customer Materials to us and that doing so does not breach any confidentiality obligation or third-party right.
You are responsible for the accuracy and completeness of the information and Customer Materials you provide. Quotes are prepared in reliance on them. Errors, omissions or changes may change the scope, price or schedule of the Services.
Do not upload material that is unlawful, infringing, defamatory, contains malicious code, or contains personal information of others that you do not have the right to share. We may remove or refuse any upload.
We keep a record of quotes and Customer Materials for the periods described in our Privacy Policy so we can respond if the project proceeds later.
6. Suitability and site information
In plain language: Information on the Site about equipment and methods is general. Your site conditions decide what is actually required.
The Site describes equipment, methods, capacities and services in general terms. Whether a particular door, dock product, rigging method, alignment approach or mechanical solution suits your facility depends on your site conditions, existing equipment, applicable codes and your operational requirements. Nothing on the Site is engineering advice or a warranty of fitness for a particular purpose. The suitability of the Services for your application is confirmed in the quoting process and in the Work Agreement, not by the Site.
References on the Site to third-party standards and certifications (for example WSIB, CWB, TSSA, OEM specifications) describe ReadyForce's qualifications or the standards to which work is performed. They are not endorsements by those bodies.
7. Careers and job applications
In plain language: Applying through the Site is not an offer of employment. Give us accurate information.
Job postings on the Site are for information. Submitting an application does not create an offer or a contract of employment, and postings may be withdrawn at any time. You confirm that the information you provide in an application, including trade certifications and licences, is accurate. Our Privacy Policy describes how applicant information is handled. Accommodations for applicants with disabilities are available on request at any stage of the recruitment process.
8. Downloads and specification documents
In plain language: You may download our documents for your own project use. Manufacturer documents belong to the manufacturer.
The Site provides downloadable documents such as brochures, capability statements, product specifications and installation guides. ReadyForce documents may be downloaded and shared for the purpose of evaluating or specifying our Services. Manufacturer documents are provided for convenience, remain the property of the manufacturer, and may be out of date; confirm current specifications with us or the manufacturer before relying on them.
9. Contests and promotions
In plain language: Each contest has its own rules. Those rules govern the contest, not these Terms.
From time to time we run contests and promotions. Each is governed by its own official rules, which set out eligibility, how to enter, the prizes, the odds, how winners are chosen and any skill-testing requirement. Where the official rules and these Terms conflict, the official rules govern the contest. No purchase is necessary to enter any ReadyForce contest. Our Privacy Policy describes how we handle contest entry information and marketing consent.
10. Acceptable use of the Site
In plain language: Use the Site for its intended purpose. Do not interfere with it, scrape it or misrepresent who you are.
You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site, its servers or connected systems; introduce viruses or other harmful code; scrape, harvest or copy Site content or data by automated means without our written permission; submit false or misleading information or impersonate any person or company; use the Site to send unsolicited commercial messages; or interfere with the Site's operation or other users' access. We may suspend or block access to anyone who violates these Terms.
11. Intellectual property
In plain language: The Site and its content belong to ReadyForce or its licensors.
The Site, including its text, photographs, video, graphics, logos, page layouts, downloadable ReadyForce documents and underlying code, is owned by or licensed to ReadyForce and is protected by copyright and trademark law. ReadyForce, the ReadyForce logo, and the names Ready Machinery, Valley Mechanical and Begley Overhead Doors are trademarks or trade names of ReadyForce or its affiliates. Other names and logos appearing on the Site, including customer and manufacturer names, belong to their owners. You may view, download and print Site content for the purpose of evaluating or working with ReadyForce. Any other use requires our written permission.
12. Third-party links and embedded content
In plain language: We are not responsible for other websites we link to or embed.
The Site contains links to and embedded content from third parties, including maps, video players, review platforms and manufacturer websites. We do not control and are not responsible for their content, availability or privacy practices. Your use of them is at your own risk and subject to their terms.
13. Disclaimers
In plain language: The Site is provided as is. We do our best to keep it accurate and available, but we do not promise that.
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components. Warranties for Services and products are set out in the applicable Work Agreement and are not affected by this section.
14. Limitation of liability
In plain language: We are not liable for losses from using the Site, to the extent the law allows. Our liability for work we perform is set out in your Work Agreement.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYFORCE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFIT, REVENUE, PRODUCTION, DATA OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR ANY CONTENT ON IT. This section does not limit liability that cannot be limited by law, and it does not apply to liability for Services performed under a Work Agreement, which is governed by that agreement.
15. Indemnity
In plain language: If your misuse of the Site or your uploaded materials causes a claim against us, you cover it.
You agree to indemnify and hold harmless ReadyForce and its affiliates, directors, officers, employees and agents from any claim, loss, liability or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Site, or any claim that Customer Materials or other information you provide infringe the rights of a third party or were provided without authority.
16. Governing law and disputes
In plain language: Ontario law applies and Ontario courts decide disputes about the Site.
These Terms and any dispute arising from your use of the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. You agree to the exclusive jurisdiction of the courts of Ontario sitting in Toronto for any such dispute.
17. General
In plain language: Standard contract housekeeping.
These Terms, with the Privacy Policy, are the entire agreement between you and ReadyForce about your use of the Site. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. Headings are for convenience only.
